Overview

Tokio Marine is the Tokyo-based parent of several of the best-known specialty and niche commercial carriers in the U.S. Its U.S. group was ranked No. 11 among U.S. business insurers by 2025 commercial lines direct premiums written, with $9.53 billion, based on NAIC market share data. That is about 1.97% of the national commercial market. The group is the largest writer of excess workers' compensation in the country, fifth in commercial multiple peril (package policies) and ocean marine, sixth in surety, and ninth in aircraft coverage.

Most business owners never see the Tokio Marine name on a policy. They see the operating brands:

  • Philadelphia Insurance Companies (PHLY), based in Bala Cynwyd, Pennsylvania: package, auto, professional and management liability for more than 120 niche markets, written mainly through Philadelphia Indemnity Insurance Company and its surplus lines affiliate, Tokio Marine Specialty Insurance Company.
  • Tokio Marine HCC (TMHCC), based in Houston: specialty lines such as surety, aviation (including Avemco), D&O, cyber and professional lines, accident and health, trade credit, public entity programs and crop insurance through ProAg.
  • Safety National, based in St. Louis: excess workers' compensation and deductible casualty for large employers and public entities.
  • Tokio Marine America (TMA): large commercial property and marine accounts.
  • First Insurance Company of Hawaii and the high-net-worth personal lines insurer PURE, whose reciprocal exchange is owned by its members.

Everything is sold through agents and brokers. Tokio Marine Holdings trades on the Tokyo Stock Exchange (8766); Masahiro Koike became group CEO in 2025.

History

Tokio Marine was founded in August 1879 as Tokio Marine Insurance Company, Japan's first insurance company, writing cargo insurance for the country's growing overseas trade. A 1944 merger with Meiji Fire and Mitsubishi Marine created Tokio Marine & Fire, and the 2004 merger with Nichido Fire produced Tokio Marine & Nichido Fire, still the group's main operating company. Tokio Marine America says the group has done business in the U.S. for more than 100 years.

The U.S. commercial business was largely bought, deal by deal:

  • 2008: Philadelphia Consolidated Holding Corp., parent of PHLY (founded 1962), for about $4.7 billion, completed in December 2008.
  • 2012: Delphi Financial Group for about $2.7 billion, completed in May 2012. Delphi brought Safety National, which has written excess workers' comp for self-insured employers since 1942, and Reliance Standard Life.
  • 2015: HCC Insurance Holdings, a Houston specialty insurer started in 1974, for about $7.5 billion. The deal closed on October 27, 2015, HCC left the NYSE, and the company became Tokio Marine HCC.
  • 2020: PURE Group, the manager of the PURE high-net-worth exchange, for about $3.1 billion, completed in February 2020.

Recent moves are smaller. On October 31, 2025, PHLY bought Ignyte Insurance's collector vehicle division (American Collectors Insurance, J.C. Taylor, Condon Skelly and Heacock Classic) for $615 million, PHLY's largest acquisition. On November 21, 2025, Tokio Marine agreed to buy Commodity & Ingredient Hedging, a Chicago agricultural risk management firm, at an enterprise value of $970 million, with closing expected in the first quarter of 2026. In March 2026, Berkshire Hathaway's National Indemnity agreed to buy about 2.49% of Tokio Marine Holdings and join its reinsurance panel through a whole-account quota share, alongside a pact to look at joint investments, including M&A. The stake is a minority one; see Berkshire Hathaway for the Berkshire side.

Business insurance products

Small and midsize accounts (PHLY). PHLY writes commercial package policies, a business owner's policy, commercial auto, management and professional liability (D&O, EPL, E&O), environmental, special events, surety and accident and health. Its edge is industry programs: nonprofits and human services, real estate and habitational, health and fitness, education, sports, entertainment and recreation, agriculture, outdoor products and public services. Forms and risk management services are built around those niches; its loss control team, for example, publishes abuse-prevention resources for organizations that serve vulnerable people. Some coverage is written by its surplus lines affiliate on an excess and surplus lines basis, which means no state guaranty fund protection.

Specialty and large accounts (TMHCC and TMA). TMHCC's U.S. underwriting groups include Aviation, Casualty Liability, Credit, Cyber & Professional Lines, D&O, Guaranty, Public Risk, Specialty (sports, entertainment, travel and hospitality), Surety and ProAg crop insurance, plus marine, energy, contingency and transactional risk. TMA writes large commercial property, ocean cargo and inland marine.

Large employers (Safety National). Excess workers' compensation for self-insured employers, deductible casualty, commercial auto and general liability, cyber, workers' comp opt-out alternatives and loss portfolio transfers, plus casualty reinsurance. This is the business behind the group's No. 1 rank in excess workers' comp; see self-insuring workers' comp: requirements and trade-offs and large deductible program.

Who it insures

The group's appetite is defined by segment rather than size. PHLY targets small and midsize organizations in its niche programs, and it is a familiar name to nonprofit boards, property managers, fitness clubs, private schools and event organizers. TMHCC goes after classes where specialist underwriting matters: aircraft owners, contractors needing surety bonds, public entities, sports and event organizers, and companies buying D&O or trade credit. Safety National's buyers are large companies and public entities that self-insure or carry large deductibles and buy coverage above a self-insured retention.

A main-street business outside PHLY's programs, such as a small contractor or a restaurant, is usually better matched elsewhere. PHLY's own materials note that not all coverages are available in all states.

How to buy

You buy through an agent or broker. PHLY appoints independent producers, and agents can submit new business, get quotes in minutes and bind and renew most products online through its MyPHLY portal. There is no direct online purchase for business owners. TMHCC and Safety National work through retail and wholesale brokers who handle specialty and large accounts; expect a full submission with loss runs, exposure data and, for excess comp, actuarial and claims information on your self-insured program.

If your agent is not appointed with PHLY, the company's producer line (800-873-4552) explains the appointment process. Policyholders can pay bills and get policy copies through PHLY's customer service center.

Claims

PHLY claims are reported at 800-765-9749 (weekdays 8:30 a.m. to 8 p.m. ET), online through its claims center, or by email to [email protected]. The same number runs a catastrophe call center after 8 p.m. for catastrophic losses. PHLY lists separate lines for auto glass, fuel spill and pollution response, and accident and health claims, and its risk management services team (833-745-9767) supports loss control. PHLY's 2026 fact sheet cites a 96.7% claims satisfaction rating, a company figure.

Safety National asks excess workers' comp insureds to report fatalities, paralysis, major burns, brain or spinal cord injuries, loss of a major limb and any incident seriously injuring two or more employees immediately. Other reporting thresholds depend on the excess policy form, so read your reporting condition.

Financial strength and ratings

The main U.S. companies carry AM Best's top rating. AM Best affirmed A++ (Superior) for Philadelphia Indemnity and Tokio Marine Specialty on October 23, 2025, for the Houston Casualty Group companies of TMHCC in October 2025, and for Safety National and its affiliates in November 2025, all with stable outlooks. AM Best credits support from Tokio Marine & Nichido Fire. S&P rates the PHLY companies A+ (assigned February 24, 2026) and affirmed A+ (Strong) for TMHCC's core companies on March 4, 2026, raising the outlook to positive alongside the same action on the parent. Fitch affirmed AA- for TMHCC's major U.S. companies in November 2024.

PHLY reported 2025 statutory gross written premium of $5.0 billion, net income of $588 million and a 92.6% combined ratio. In J.D. Power's 2025 U.S. Small Commercial Insurance Study, Philadelphia Insurance tied for second with 714 points.

On June 9, 2025, PHLY detected suspicious network activity and took systems offline, disrupting phone, email and online service for about three weeks; the company said no systems were encrypted and announced on July 2 that regular operations had resumed. AM Best said the ratings were unaffected.

Strengths and weaknesses

Tokio Marine's U.S. group pairs top-tier balance sheets with genuine specialization: PHLY in niche package business, TMHCC in specialty lines, Safety National in excess comp. The trade-off is that it is not one company to deal with, and none of it is sold direct.

  • Strengths: A++ (Superior) from AM Best across PHLY, TMHCC and Safety National (affirmed October and November 2025), with S&P's outlook raised to positive in March 2026. Deep niche programs, with PHLY writing 120-plus niche markets and posting a 92.6% combined ratio in 2025. The national leader in excess workers' compensation. Strong 2025 J.D. Power result for PHLY.
  • Weaknesses: Each brand has its own website, phone tree, portal and appetite, so a buyer with a PHLY package and TMHCC D&O deals with two companies. Agent and broker distribution only, and your agent must be appointed with PHLY. The June 2025 network outage disrupted PHLY service for weeks. PHLY is built around its niche programs, so a general small business outside them has fewer options here.
